CoFi Labs Terms of Use

These Terms of Use ("Terms") govern your access to and use of the website located at www.cofilabs.com (the "Site"), operated by CoFi Labs LLC, a Wyoming limited liability company ("CoFi Labs," "we," "us," or "our"). By accessing or using the Site, you agree to be bound by these Terms and our Privacy Policy (available at www.cofilabs.com/privacy). If you do not agree with these Terms, do not access or use the Site.

Agreement to Terms By using the Site, you represent that you are at least 18 years of age and have the legal authority to enter into these Terms. If you are accessing the Site on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.
Use of the Site 2.1 License We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for personal or internal business purposes, solely in accordance with these Terms and the Site’s intended functionality, including access to our cryptocurrency-related products and services.

2.2 Prohibited Activities You agree not to:

Use the Site for any illegal, fraudulent, or unauthorized purpose, including activities prohibited under applicable cryptocurrency, financial, or anti-money laundering regulations.
Copy, modify, reproduce, distribute, or create derivative works from any Site content, including text, graphics, or software, without our prior written consent.
Interfere with or disrupt the Site’s operations, servers, or networks, or attempt to gain unauthorized access to any systems or data.
Use automated tools (e.g., bots, spiders, or scrapers) to access, monitor, or extract data from the Site without our express written permission.
Reverse engineer, decompile, disassemble, or attempt to derive the source code or underlying technology of the Site or our products.
Introduce viruses, malware, or other harmful code to the Site.
Impersonate any person or entity or misrepresent your affiliation with any person or entity.
Use the Site to engage in activities that violate the XRP Ledger’s protocols or applicable blockchain regulations.
Access or use the Site from a country or region subject to U.S. sanctions or other applicable trade restrictions.

2.3 Account Access Certain features, such as access to our products, may require an account. You must provide accurate, complete, and current information during registration and maintain the confidentiality of your account credentials. You are responsible for all activities under your account and agree to notify us immediately at info@cofilabs.com of any unauthorized use. We reserve the right to suspend or terminate your account at our discretion.

2.4 AML/KYC Compliance To comply with anti-money laundering (AML) and know-your-customer (KYC) regulations, we may require you to provide identification or other information to verify your identity before accessing certain features or products. You agree to provide accurate and complete information and to cooperate with any AML/KYC verification processes. Failure to comply may result in suspension or termination of your account or access to the Site.

2.5 Ad-Based Revenue and In-App Purchases Some products or features may be supported by advertisements or offer in-app purchases. You agree to comply with any terms applicable to such purchases, as provided at the time of transaction. All payments are non-refundable unless otherwise stated. We reserve the right to modify or discontinue ad-based features or in-app purchase options at our discretion.

2.6 Restricted Jurisdictions The Site and our products are not available to individuals or entities located in, or residents of, countries or regions subject to comprehensive U.S. sanctions administered by the Office of Foreign Assets Control (OFAC) or other applicable trade restrictions, including but not limited to Cuba, Iran, North Korea, Syria, and certain regions of Ukraine. By using the Site, you represent that you are not located in or a resident of any such restricted jurisdiction.

Intellectual Property 3.1 Site Content All content on the Site, including text, images, logos, software, and other materials (collectively, "Content"), is owned by or licensed to CoFi Labs and protected by copyright, trademark, and other intellectual property laws. You may not use, reproduce, or distribute any Content without our prior written permission, except as expressly permitted by these Terms.

3.2 Trademarks The "CoFi Labs" name and associated logos are trademarks or service marks of CoFi Labs LLC. You may not use our trademarks without our prior written consent.

3.3 Feedback and Submissions If you provide feedback, suggestions, or other content to the Site (collectively, "Submissions"), you grant CoFi Labs a worldwide, royalty-free, perpetual, irrevocable, and sublicensable right to use, reproduce, modify, distribute, and exploit such Submissions for any purpose, including enhancing our cryptocurrency products, without compensation to you. You represent that your Submissions do not infringe any third-party rights.

Third-Party Sites and Services The Site may link to third-party websites, applications, or services, such as the XRP Ledger or external blockchain platforms, not owned or controlled by CoFi Labs. We are not responsible for the content, terms, or practices of such third-party sites or services. Your use of them is at your own risk, and you should review their applicable terms and policies.
Privacy Our Privacy Policy (available at www.cofilabs.com/privacy) governs the collection, use, and disclosure of your personal information. By using the Site, you consent to the practices described therein.
No Warranties 6.1 "As Is" Basis THE SITE AND ALL CONTENT, INCLUDING OUR PRODUCTS, ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.

6.2 No Guarantee We do not warrant that the Site or our products will be uninterrupted, secure, error-free, or free from viruses or other harmful components. We do not guarantee the accuracy, completeness, or reliability of any Content, including analytics or data provided by our products. Cryptocurrency markets are volatile, and you assume all risks associated with using our Site or products.

Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY LAW, COFI LABS, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, OR CRYPTOCURRENCY VALUE, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SITE OR OUR PRODUCTS, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL COFI LABS’ TOTAL LIABILITY TO YOU EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100) OR THE AMOUNTS PAID BY YOU TO COFI LABS FOR ACCESS TO THE SITE OR PRODUCTS IN THE SIX (6) MONTHS PRECEDING THE CLAIM.
Indemnity You agree to indemnify, defend, and hold harmless CoFi Labs, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Site, your Submissions, or your violation of these Terms, applicable law, or XRP Ledger protocols.
Termination We may suspend or terminate your access to the Site or any product at our sole discretion, with or without notice, for any reason, including violation of these Terms, AML/KYC requirements, or applicable cryptocurrency regulations. Upon termination, your right to access the Site and products will cease immediately, but provisions such as Sections 3 (Intellectual Property), 6 (No Warranties), 7 (Limitation of Liability), 8 (Indemnity), and 11 (Governing Law and Jurisdiction) will survive.
Changes to Terms We may revise these Terms at any time by posting the updated version on the Site. The revised Terms will be effective immediately upon posting. Your continued use of the Site after such changes constitutes your acceptance of the updated Terms. Review these Terms periodically.
Governing Law and Jurisdiction These Terms are governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law principles. Any legal action or proceeding arising under or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Sheridan County, Wyoming, and you irrevocably consent to the personal jurisdiction and venue of such courts.
Miscellaneous 12.1 Entire Agreement These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and CoFi Labs regarding the Site, superseding all prior or contemporaneous agreements.

12.2 Severability If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

12.3 No Waiver Our failure to enforce any provision of these Terms will not constitute a waiver of such provision or any other right.

12.4 Assignment You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer these Terms without restriction.

12.5 Force Majeure CoFi Labs will not be liable for any delay or failure to perform due to causes beyond our reasonable control, such as acts of God, natural disasters, blockchain network disruptions, or regulatory changes.

12.6 Notices Any notices to CoFi Labs under these Terms must be sent to info@cofilabs.com or 30 N Gould St Ste R, Sheridan, WY 82801. Notices to you may be sent to the email address associated with your account or posted on the Site.
